1.0) Introduction.

SIMPLE YES OR NO (SYONit!) tournament is a simple competition developed to encourage intuitive decisiveness and ignite the spirit of enterprise and sportsmanship .

SYONit! relates to certain factors of life: chance, choice and strategy. In other words, life is partially a game of chance, choice, strategy and our decisiveness when opportunity presents itself. Our decision(s) thus affect our survival, performance, and achievement.
Three (3) equal opportunities & information is provided to all players and it is part of the objective of the game to be fair: Simple Yes or NO(SYONit!). No Questions Asked!

Tournament benefit.
Life is full of hidden opportunities to make life-changing decisions. As individuals, we sometimes procrastinate until we loose the opportunity, which can seldom be regained.

Simple Yes or No(SYONit!) Tournament provides lots of opportunities to task your competitive streak against several hundreds of players. It encourages decisiveness and proactive behaviour to venture into the unknown. In addition, it may also impart on one’s ability to shift paradigm when limited information is available.
More importantly, it may strengthen the will of the individual to accept and cope with the outcome of a decision in the spirit of sportsmanship.

Beware! Frequent players may become: Decisive, Think differently, Adventurous / or become more Dogged.

The company may review and refine certain aspect of the game from time to time to improve user experience. Players (as defined in clause ‘2’ below ) agree to be bound by the relevant version of Simple Yes or No Game Rules, Game procedure and Game specific Rules relating to specific versions.

2.0 ) SUBSCRIBER REGISTRATION

A) Conditions for registration

* All ages starting from seven (7yrs)

* Younger subscribers may only participate under guidance from parent or guardian and with permission of the bill payer or mobile account holder or internet account holder.
.
* The subscriber / player may not hold the company responsible for the speed of internet service provider or related services that may be experienced in the cause of participating in a particular tournament.

* The company reserves the right to disable or refuse registration of first time subscriber / existing subscriber from participating for/in a particular tournament.

B) **password security.

It is the sole responsibility of subscribers to secure their password

3.0) GAME RULES

-A tournament consists of rounds. Each round has 3 voting opportunities. Players are required and must Decide & vote either a Yes or a No each time they are prompted by the word SYONit ! NO QUESTIONS ASKED

- Player may not vote more than once in an opportunity.

3.1 ) PRIZE collection.

Prizes may be posted or collected by the subscriber
Whichever is most convenient to the company will be applicable.

3.2) GENERAL ADVISORY

1) It is the responsibility of the prospective subscribers to use the right internet connectivity devices capabilities and speed required for participation online.
Failure to use the right equipment and technology may prevent subscribers from registration or to participate effectively.

2) Players may not hold the company or the SIMPLE YES OR NO game device liable or responsible as there is no guaranty that a subscriber’s mobile / internet devices will function normal at the time of play.

3.3 ) DATA and CONTENT.

* The company is the owner or licensor of the game, its trade marks and other intellectual properties rights in, to, and in respect of the site, its content , its look and feel( including but without limitation to, the content of any of the foregoing), the licensees, the players, prospective subscribers acquire no rights therein. Licensees, players and prospective subscribers acknowledges and agree that the use of the site is permitted by the owner and licensor as expressly set out in the terms and conditions ,the applicable tournament rules and tournament specific rules including but not limited to tournament procedures.

* Prospective subscribers and players agree that the site and the interactive messaging platform are for their individual and personal use. Certain parts may be printed or downloaded but may not be used for commercial purposes.

* Prospective subscribers and players may not distort, change or remove any copy right, trade marks or other intellectual property rights contained in any material copied as a soft copy or hard copy from the site or any other publication belonging to the company relating to the game.

4.0)ONLINE CONDUCT

Online conduct should be guided by common sense and basic etiquette. The laws
that apply in the offline world must be obeyed online as well. We have zero
tolerance for illegal behavior on SYONIT Online. You must also obey rules for use of third party tools, and rules of interactive service providers, state, local,
federal laws, or foreign or international law where appropriate. Ignorance of
the law is no excuse. We terminate use of SYONIT Online and cooperate with law enforcement for illegal behavior.

You agree that you will be personally responsible for your use of SIMPLE YES OR NO (SYONIT) Online and for all of your communication and activity on the service, including any Content you contribute, and that you will indemnify and hold harmless SYONIT Online; its affiliates, employees, officers, and directors from any liability or damages arising from your conduct on SYONIT Online, including any Content that you
contribute.

You will violate the Terms of Service if you (or others using your Account) do
any of the following:

Post, transmit, promote, or distribute Content that is illegal

Harass, threaten, embarrass, or do anything else to another Member or guest
that is unwanted. This means: don't say bad things about them, don't keep
sending them unwanted messages, don't attack their race, sexual orientation,
religion, heritage, etc. If you disagree with someone, respond to the subject,
not the person.

Transmit or facilitate distribution of Content that is harmful, abusive,
racially or ethnically offensive, vulgar, sexually explicit, defamatory,
infringing, invasive of personal privacy or publicity rights, or in a
reasonable person's view, objectionable. Hate speech is not tolerated.

Disrupt the flow of chat in chat rooms with vulgar language, abusiveness,
hitting the return key repeatedly or inputting large images so the screen goes
by too fast to read, use of excessive shouting [all caps] in an attempt to
disturb other users, “spamming” or flooding [posting repetitive text].

Impersonate another person (including celebrities), indicate that you are an
SYONIT employee or a representative of SIMPLE YES OR NO (SYONIT) Online, or attempt to mislead users by indicating that you represent SYONIT Es One or any of SYONIT Es One partners or affiliates.

Attempt to get a password, other account information, or other private
information from a Member or any other user on SIMPLE YES OR NO (SYONIT) Online. Remember: SYONIT Es One employees will NEVER ask for your password. Don't give your password, reminder words, or billing information out to anyone.

Upload any software or Content that you do not own or have permission to
freely distribute.

Promote or encourage any illegal activity including hacking, cracking or
distribution of counterfeit software

Upload files that contain a virus or corrupted data.

Post messages for any purpose other than personal communication, including without limitation advertising, promotional materials, chain letters, pyramid schemes, or make any commercial use of our Service.

Improperly use in game support or complaint buttons or make false reports to
SYONIT Es One Online staff members.

Use or distribute “auto” software programs, “macro” software programs or other “cheat utility” software program or applications.

You may not modify any part of the service or any service Web Site that SYONIT does not specifically authorize you to modify.

You must obey all applicable laws, regulations and rules wherever you
are on the Service. This includes rules for use of third-party technology and content, rules of interactive service providers, and federal, state, local and foreign laws where applicable. Ignorance of the law is no excuse. The laws that apply in the offline world must be obeyed online as well. We have zero tolerance for illegal behavior on the Service. We will cooperate with law enforcement in such matters.

You may not post or communicate any player’s real-world personal information within the service or through any service web site or any service bulletin board.

You will not attempt to interfere with, hack into or decipher any
transmissions to or from the servers running the service.

You will not exploit any bug in the service or in any SYONIT Es One
product to gain unfair advantage in the tournament and you will not communicate the existence of any such bug (either directly or through the public posting) to any other user of the service.

You will not do anything that interferes with the ability of other service users to enjoy playing an SYONIT Es One tournament and using the service, in accordance with its rules, or that materially increases the expense or difficulty of SIMPLE YES OR NO (SYONIT) in maintaining the service for the enjoyment of all its users.

If you encounter another user of the SYONIT Es One who is violating any of the Rules
of Conduct described above, please report them by notifying the SIMPLE YES OR NO (SYONIT) via email to ambassador@syonit.com.

SYONIT Es One does not recognize or condone any outside service that may be
used for the exchange of points, assets or attributes that you may accumulate as
a result of participating in the service or playing SYONIT Es One tournament(s). You further agree that these rules will apply to anyone that you allow to use your service account or user id, and that you are personally responsible for the consequences (including termination of your account) that may result if any such person breaks these rules.

In order to help make the service a good experience for everyone, SYONIT Es One
may occasionally find it necessary to make changes to, or reset certain parameters of, the service in order to bring it back into balance. These changes or resets may affect or cause you setbacks in the acquisition of points.

These rules may be changed, and new rules may be added, at any time. you agree
to check the web site from time to time to review any rule changes that SYONIT Es One
may have made.

5.0) Game Definitions.

“the owner & seller”
means Syonit ESOne Limited

“Simple Yes or No” (SYONIT !)
means the name of the “ telecommunication tournament ” offered for subscription / registration by the seller to the entrants, and registered as a trade mark owned by the seller.

“Player”
means any person or authorised person using any device to subscribe / register via a wireless state of the art technology and has agreed to subscribe / register under the terms, rules and conditions herein stated.

“elimination”
means a successive reduction process of players until a last person(SYONaire) emerges.

“chance”
means intuitive decision ( 1st opportunity to choose and vote in a round of three opportunities)

“choice”
means facts /limited information available (2nd opportunity to choose and vote in a round of three opportunities)

“ strategy”
means facts/limited information available(3rd and last opportunity to choose and vote in a round of three opportunities).

“feedback ‘
means messages to entrants including but not limited to result of last vote count in an opportunity level or round level.

“SYONaire (Last person standing)”
means the only player remaining in the tournament after successive rounds of reduction. He/she is the winner of that particular tournament.

“company”
means SYONIT ES ONE LIMITED, a limited liability company registered
in Nigeria whose registered office is at 23 Military Street, Onikan Lagos Nigeria.

“tournament”
means a batch of registered players within the same registration time of a particular day participating in one or several voting opportunities to earn and accumulate points with the objective of being the SYONaire a particular game to be the last person.

“game rules” means any rules or conditions issued by the company relating to a particular game .

“mobile user/internet user”
means an individual who is identified by his or her mobile number/ URL address.

“first time subscriber”
means a mobile user/ internet user or person who has never played (or being authorized to play) SIMPLE YES OR NO (SYONIT) tournament in his or her life.

‘subscriber”
means a mobile user / internet user who has played ( or being authorized to play) the SIMPLE YES OR NO (SYONIT) at least once in his or her lifetime.

“player”
means a subscriber who has successfully registered and participated in a tournament and is yet to be eliminated.

“btt”
is abbreviation for ‘break the tie’.

“frozen”
means the batch of players who are temporarily eliminated from further participating in a particular game at round level but are eligible to participate in a “btt “ opportunity once, in a particular game, but are eliminated from the particular tournament immediately after participating “Bonus Chance” opportunity or once a SYONaire emerges. The last person (winner) emerges even without a btt opportunity scenario.

“ eliminated”
means the batch of subscribers who have been eliminated from a particular game as a result of participating in a Bonus Chance opportunity .

“participant”
(of a game , opportunity or round) means a subscriber (or first time subscriber) who has successfully registered to take part in a particular game .

“result”
means the outcome of a particular tournament and may only be one winner: the SYONaire.

“choose”
means player / frozen player who is prompted to choose either during an opportunity or during “Bonus Chance”.

“Bonus Chance : break the tie”
means Frozen players may be prompted to “Break the tie” during a tournament. The frozen player to respond fastest proceed to the imminent round. The rest of the frozen players are eliminated from the tournament *The time you signed on is a deciding factor in case of a “TIE” i.e. all players have the same score at the end of a round.

“ minority” means the last person or batch of players with the most points and is/are qualified to move to another round.

“ majority”
means the batch of subscribers with less less points and are frozen from participating in subsequent rounds in the particular tournament

“reg confirmed’
means feedback message to subscriber acknowledging and authorising the subscriber to participate in the particular tournament.

“Opportunity”
means the prompt for a player to choose either yes or no.

“Round”
means cumulative result of three voting opportunities.

“sites”
means the website with URL www.simpleyesorno.com . or www.syonit.com

6.0) Proprietary Rights; Copyrights and Trademarks

Much of the Content available on SIMPLE YES OR NO (SYONIT) is owned by SYONIT ES ONE or our licensors, and is protected by copyrights, trademarks, and other intellectual property rights. You shall not copy or download any Content from SIMPLE YES OR NO (SYONIT) unless we have expressly authorized you to do so.

You must have the legal right to upload any Content to SIMPLE YES OR NO (SYONIT) before you do so. You shall not copy, transmit, modify, distribute, show in public or in
Private, modify or create any derivative works from the Content you find on SIMPLE YES OR NO (SYONIT), unless SYONIT ES ONE expressly authorizes you to do so in writing. Making unauthorized copies of any Content found on SIMPLE YES OR NO (SYONIT) can lead to the termination of your SIMPLE YES OR NO (SYONIT) Account/accumulated point(s) and may subject you to further legal action. Similarly, other Content owners may take criminal or civil action against you. In that event, you Agree to indemnify and hold harmless SYONIT ES ONE and its subsidiaries, affiliates, Related companies, employees, officers, directors and agents.

SYONIT ES ONE respects the intellectual property rights of others. You may not upload or post on SIMPLE YES OR NO (SYONIT) any content protected by copyright, trademark or other Intellectual property rights (the “Intellectual Property Rights”) unless (i) you are the owner of the Intellectual Property Rights; or (ii) you have the prior Written consent of the owner(s) of the Intellectual Property Rights to make such Use of the applicable Content. SYONIT ES ONE may, without prior notice to you, remove from SIMPLE YES OR NO (SYONIT) any Content that SYONIT ES ONE in its sole business judgment believes may infringe the Intellectual Property Rights of a third party. If you are a repeat Infringer of a third party’s Intellectual Property Rights, SYONIT ES ONE may immediately Terminate your SIMPLE YES OR NO (SYONIT) Account/accumulated point(s) without prior notice to you. If your Account is terminated you will lose access to everything associated with your account (such as points, prizes and tokens). If you are a copyright owner and you believe that any Content posted on SIMPLE YES OR NO (SYONIT) infringes your rights, you may submit a written notification to us. See contact details.

You understand that SIMPLE YES OR NO (SYONIT) introduction of various technologies may not be Consistent across all platforms and that the performance and some features Offered by SIMPLE YES OR NO (SYONIT) may vary depending on your computer and other equipment.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, NEITHER SYONIT ES ONE NOR ITS LICENSORS HAVE ANY LIABILITY OF ANY KIND OR NATURE IN CONNECTION WITH YOUR USE OF THE SIMPLE YES OR NO (SYONIT) ONLINE SOFTWARE (INCLUDING LIABILITY FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES OR DAMAGE TO YOUR COMPUTER HARDWARE OR SOFTWARE), AND THE ENTIRE RISK OF USE (INCLUDING WITHOUT LIMITATION ANY DAMAGE TO YOUR COMPUTER HARDWARE OR SOFTWARE) RESIDES WITH YOU.

7.0)BETA TESTS
You may be given the opportunity to beta test new games and site features. Your
Participation as a beta tester is subject to the following terms and conditions.

Closed Beta Tests:
Closed beta tests are confidential. The beta games, including information about
Features and functionality to be offered as part of the games, are confidential.
If you participate in a closed beta test, you will use your best efforts to
Safeguard and to prevent unauthorized access to, copying, disclosure, and
Unauthorized use of the beta games. You will carry out the testing personally
And not provide access to beta games to any other person. You agree that breach of the above confidentiality obligations will cause irreparable harm to SYONIT ES ONE, and SYONIT ES ONE is entitled to (in addition to any other remedies available to it) ex parte injunctive relief without bond to prevent the breach or threatened breach of your obligations. Your obligation to keep the beta games confidential will continue until SYONIT publicly distributes, or has otherwise disclosed to the public through no fault of yours, each of the games and the content that you are
Testing.

All Beta Tests (Closed And Open):
(1) As a beta tester, you are invited to play beta tournament for the sole purpose of e valuating the games and identifying errors. Nothing in this Agreement, or on
This site, shall be construed as granting you any rights or privileges of any
Kind with respect to the beta games or content that you find here. The beta
Games are provided for testing on an "as is" "as available" basis and we make no
Warranty to you of any kind, express or implied.
(2) When playing some beta games, you may accumulate experience
Points, prizes, or other value or status indicators. This data may be reset
At any time during the testing process, and it may be reset when the particular
game completes this testing phase. In this case, all player history and data
Will be erased and each player will return to novice status.

(3) By selecting a "Play next Game" button to start a beta game, you agree that: (i) playing beta games is at your own risk and that you know that the games may
Include known or unknown bugs, (ii) any value or status indicators that you
Achieve through game play may be erased at any time, (iii) SYONIT has no obligation to make these games available for play without charge for any period of time, nor to make them available at all, (iv) these games may be available only by subscription once the testing process is complete or at any time in the future;
(v) SYONIT ES ONE Terms of service apply to your use of the games during the testing phase, and (vi) if it is a closed beta test, you will keep all information about The beta games confidential as stated above and not disclose such information to Any other person.

(4) Beta Test accounts are non-transferable under any circumstances.

8.0) STATUS / INTERPRETATION OF TERMS, RULES and CONDITIONS
A. These terms, rules and conditions are game tournament and other related conditions which may be stated as they relate to specific tournament, setting forth the full extent of the obligations and liabilities of the company to players in relation to the simple yes or no game.
B. Trial Subscriptions
For some tournament and activities, we may offer a free trial subscription. If you
accept a free trial subscription, , unless you cancel your subscription before that time; or if you agree to terms of any other promotion associated with that subscription. You are always responsible for any Internet service provider, telephone, wireless and other connection fees that you may incur when using SIMPLE YES OR NO (SYONIT), even when we offer a free trial
subscription. Trial subscriptions may not be transferred at any time to any other user.

C. Fees Charged By Third-Party Sites And Vendors
We may provide links to other web sites. Some of these web sites may charge
separate fees. SYONIT ES ONE may also provide access to or through third-party vendors, who provide content, goods and or services on SIMPLE YES OR NO (SYONIT), the Internet or via wireless. Any separate charges or obligations you incur in your dealings with these third parties are your responsibility.

Termination Of Account
SYONIT ES ONE and you both have the right to terminate or cancel your account or a particular subscription at any time. You understand and agree that the cancellation of your Account or a particular subscription is your sole right and
remedy with respect to any dispute with SIMPLE YES OR NO (SYONIT). This includes, but is not limited to, any dispute related to, or arising out of: (1) any term of this Terms of Service or SYONIT ES ONE enforcement or application of this Agreement; (2) the Content available through SIMPLE YES OR NO (SYONIT)
Online or any change in Content provided through SIMPLE YES OR NO (SYONIT) Online; (3) your ability to access and/or use SIMPLE YES OR NO (SYONIT) Online; or (4) the amount or type of fees, surcharges, applicable taxes, billing methods, or any change to the fees, applicable taxes, surcharges or billing methods.

8.1)ONLINE CONTENT

By "Content," we mean the software, communications, images, sounds, and all the
material and information you see on our Service. SYONIT ES ONE, our Members, our
affiliates, and our independent content providers provide most of the Content on
SIMPLE YES OR NO (SYONIT). SYONIT ES ONE does not pre-screen all Content. You bear the entire risk of the completeness, accuracy or usefulness of Content found on SIMPLE YES OR NO (SYONIT). Strong vulgar language, crude or explicit sexual references, discussions of illegal drugs, and hate speech are always inappropriate Content for SIMPLE YES OR NO (SYONIT). Content standards may vary depending on where you are on SIMPLE YES OR NO (SYONIT), the expectations of the community. Some game play and chat rooms may involve use of stronger language than others, including mild expletives. Always use your best judgment in online conduct. If you would not say something in a room full of people you have never met, or in the workplace, don't post it on our message boards or chat.

SYONIT ES ONE representatives may monitor your communications on SIMPLE YES OR NO (SYONIT). But we cannot monitor all of the Content on SIMPLE YES OR NO (SYONIT), and we do not attempt to do so. Some of the areas on SIMPLE YES OR NO (SYONIT) allow you to filter the chat you see. You can use this feature to reduce your exposure to words you do not wish to see. SYONIT ES ONE does not endorse, approve, or pre-screen any content that you or other users communicate on the service. To the maximum extent permitted by applicable law, SYONIT ES ONE does not assume any responsibility or liability for content that is generated by members or other guests on SIMPLE YES OR NO (SYONIT). We reserve the right to remove content
that is objectionable to us for any reason. This determination is in our sole
discretion, and is final. SYONIT ES ONE does not assume any liability for any failure to
remove, or any delay in removing content.

If we removed content that you created, we may send you a warning. If it's a
serious offence or you've violated our rules before, we may ban you from
participating on SIMPLE YES OR NO (SYONIT) and terminate your account.

You also acknowledge that the time that you spend on SIMPLE YES OR NO (SYONIT) is solely for entertainment purposes, and that no value can be attributed to such time. In
particular (but without limitation), you understand that no value can be
attributed to the time that you may spend accumulating digital objects (such as
points, tokens and other tournament objects) or developing Content.

Public Nature of Communications.
You acknowledge and agree that your communications with other users via chats,
conferences, bulletin boards, and any other avenues of communication on this
Service are public and not private communications, and that you have no
expectation of privacy concerning your use of this Service. You acknowledge that
personal information that you communicate on this Service may be seen and used
by others and result in unsolicited communications, therefore we strongly
encourage you not to disclose any personal information about yourself in your
public communications on our service. SYONIT ES ONE is not responsible for information that you choose to communicate to other users on the Service, or for the actions of other users.

Once you post or send any content to SIMPLE YES OR NO (SYONIT), you expressly grant the complete and irrevocable right to quote, re-post, use, reproduce, modify, distribute, transmit, broadcast, and otherwise communicate, and publicly display and perform the content in any form, anywhere, with or without attribution to your screen name in SYONIT ES ONE discretion, and without any notice or compensation to you of any kind and grant all licenses, consents and clearances to enable SYONIT ES ONE to use such content for such purposes. You waive, and agree not to assert any moral or similar rights you may have in such content.

Commercial Activity and Unsolicited E-mail

You may not advertise any goods or services on SIMPLE YES OR NO (SYONIT). Chain letters and pyramid schemes are not allowed. You may not use any area of SIMPLE YES OR NO (SYONIT) to collect information, including login names, about SIMPLE YES OR NO (SYONIT) Members, and use of such information to send unsolicited e-mail or for any other purpose is strictly prohibited. You may not exploit SIMPLE YES OR NO (SYONIT), or any games or services offered on SIMPLE YES OR NO (SYONIT) for any commercial purpose. Any violation of these provisions can subject your SIMPLE YES OR NO (SYONIT) Account(s) to immediate termination (or result in revocation of Guest status, if you are a guest) and further legal action. Use of machines, computers, scripts.

The use of machines, computers, scripts or any automated system on SIMPLE YES OR NO (SYONIT) is strictly prohibited and may result in criminal liability under applicable laws in international jurisdictions. You may only play SIMPLE YES OR NO (SYONIT) tournaments with one type, version or copy of browsing software application at any one time. SYONIT ES ONE may terminate and permanently disqualify any Members who, in its sole discretion, determines as being in violation of these Terms of Service. All decisions by SYONIT ES ONE are final.

Export Control Laws.
You further agree not to upload Online: Any data or software that cannot be exported without prior written government Authorization, including, but not limited to, certain types of encryption Software. The assurances and commitments in this Section shall survive Termination of this Agreement.

Links to Third-Party Sites.

SIMPLE YES OR NO (SYONIT) may include hyperlinks to web sites operated by parties other than SYONIT ES ONE including advertisers and other content providers. Those sites may collect data or solicit personal information from you. SYONIT ES ONE does not control such web sites, and is not responsible for their content, privacy policies, or for the collection, use or disclosure of any information those sites may collect.

Additional Terms and Conditions for Specific Tournaments.
When you subscribe to play certain tournament that may be introduced as time goes by, you may need to read and agree to a service or membership agreement that is specific to that tournament, and which may have terms that are slightly different from the ones that are found here. Your subscription to that tournament, and play of that tournament, is subject to those specific terms and this Terms of Service. If there are any inconsistencies between the tournament specific terms and these terms, SYONIT ES ONE will be the final and sole arbiter of any such inconsistencies.

Limitations on warranty and liability.
To the maximum extent permitted by applicable law, you expressly agree that the
Use of SIMPLE YES OR NO (SYONIT), SIMPLE YES OR NO (SYONIT) software, and the internet is at your sole risk. SIMPLE YES OR NO (SYONIT), SIMPLE YES OR NO (SYONIT) software, SYONIT ES ONE products and services, third-party services and products are provided on an "as is" and "as available" basis for your use, without warranties of any kind, either express or implied, unless such warranties are legally incapable of exclusion. SYONIT ES ONE provides the service on a commercially reasonable basis and does not guarantee that you will be able to access or use the service at times or locations of your choosing, or that SYONIT ES ONE will have adequate capacity for the service as a whole or in any specific geographic area.

To the maximum extent permitted by applicable law, you acknowledge and agree that your sole and exclusive remedy for any dispute with SYONIT ES ONE or its licensors is to stop using the service, and to cancel your account/registration/ points). You acknowledge and agree that SYONIT ES ONE, its subsidiaries, licensors and affiliates are not liable for any act Or failure to act by them or any other person regarding conduct, communication or content on the service or use of SIMPLE YES OR NO (SYONIT) software. In no case shall SYONIT ES ONE or SIMPLE YES OR NO (SYONIT) affiliates be liable for incidental or consequential damages arising from your use of SIMPLE YES OR NO (SYONIT), SIMPLE YES OR NO (SYONIT) software, the internet or for any other claim related in any way to your use of or membership with SYONIT ES ONE. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, SYONIT ES ONE and SIMPLE YES OR NO (SYONIT) Affiliates' liability shall be limited to the full extent permitted by law. SYONIT ES ONE does not endorse, warrant or guarantee any third party product or service offered through SIMPLE YES OR NO (SYONIT) and will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services.

Notwithstanding the foregoing, nothing contained in this agreement limits SYONIT ES ONE liability to you for fraudulent misrepresentations, death or personal injury caused by SYONIT ES ONE negligence, or any other liability to the extent such liability cannot be excluded or limited as a matter of applicable law.

Indemnification
Upon request by SYONIT ES ONE, you agree to defend, indemnify and hold harmless SYONIT ES ONE and its Affiliates, subsidiaries, employees, contractors, officers, directors, vendors, and content providers from all liabilities, claims and expenses, including attorneys' fees, that arise from a breach of these terms of service for which you are responsible or in connection with your transmission of any content on SIMPLE YES OR NO (SYONIT). SYONIT ES ONE reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. In that event, you shall have no further obligation to provide indemnification to SYONIT ES ONE in that matter. This section shall survive termination of this agreement.

Other legal terms
You agree that these terms of service are not intended to confer and do not confer any rights or remedies upon any person other than the parties to this agreement. You also understand and agree that the SIMPLE YES OR NO (SYONIT) terms of service and the SYONIT ES ONE privacy policy, including SYONIT ES ONE enforcement of those policies, are not intended to confer, and do not confer, any rights or remedies upon any person. If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

If you reside in a member state of the European union or any other country: (i) the laws of England, Excluding its conflicts-of-law rules, govern this agreement and your membership; And (ii) you expressly agree that exclusive jurisdiction for any claim or Dispute with SYONIT ES ONE or relating in any way to your membership or your use of SIMPLE YES OR NO (SYONIT) resides in the courts of England and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of England in connection with any such dispute including any claim involving SYONIT ES ONE or its affiliates, subsidiaries, employees, contractors, officers, directors, vendors and content providers. As noted above, member conduct may be subject to other local, state, national, and international laws.

CHANGES TO TERMS AND CONDITIONS

The company SYONIT ES ONE reserves the right to change the terms and rules and conditions for any and or all of the tournament at any time. Subscribers may/may not be notified in advance of changes prior to the particular tournament(s), as the changes are applicable prior to the play of the particular tournament(s). The changes shall be posted on the site and applicable immediately to subsequent tournaments.

WARRANTIES AND INDEMNITIES
a) each prospective subscribers / and player / warrants the site will only be used by them for the functions as it relates to the tournament and its terms and conditions and rules and for specific enquiries or provision or updating of information as may be required of them from time to time. .

GENERAL
The terms, rules and conditions of the game may be changed by the Company at any time without the approval or consent of the subscribers.
The headings of this terms, rules and conditions are inserted for convenience of reference only and shall be construed as such in line with the intended meaning or interpretation of the words made herein.

LIABILITIES
The Company shall not be liable to any subscriber / player for any wrongful registration to play the game which includes age, names, addresses, phone number and email address or for failure of a subscriber to secure his or her password.

LAW
This Terms, Rules and Conditions shall be governed by and construed in accordance with the Laws of England.
